Terms of Service

These Terms of Service ("Terms") govern your access to and use of Vault ("Service"), operated by Vault ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Description of Service

Vault is a cross-listing tool that allows resellers to publish, manage, and synchronize product listings across third-party marketplaces including eBay and Etsy. Vault acts as an intermediary and does not itself buy, sell, or take possession of any goods.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using Vault, you represent that you meet these requirements.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access. We are not liable for losses caused by unauthorized use of your account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of third-party marketplace terms.
• List counterfeit, stolen, prohibited, or regulated items.
• Attempt to reverse-engineer, scrape, or interfere with the Service.
• Use the Service to send spam or engage in deceptive practices.

5. Third-Party Platforms

Vault connects to third-party platforms (eBay, Etsy) on your behalf using OAuth authorization that you grant. You remain solely responsible for complying with the terms, policies, and seller requirements of those platforms. We are not responsible for any actions taken by those platforms, including account suspensions or listing removals.

6. Fees and Billing

Certain features of the Service require a paid subscription. Fees are charged in advance on a recurring basis. All fees are non-refundable except as required by applicable law. We reserve the right to change pricing with at least 14 days' notice.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Vault and are protected by copyright and other intellectual property laws. You retain ownership of any content you upload (listings, images, descriptions). By uploading content, you grant us a limited license to process and transmit that content to third-party platforms on your behalf.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that listings will be successfully published to or synchronized with any third-party platform.

9. Limitation of Liability

To the fullest extent permitted by law, Vault shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, missed sales, or data loss, arising from your use of or inability to use the Service.

10. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately. You may delete your account at any time from your account settings.

11. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of competent jurisdiction.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice in the Service. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
